The Malta Financial Services Authority (“MFSA” or the “Authority”) has been looking into certain matters related to a Professional Investor Fund with respect to the late submission of regulatory information to the Authority. The Authority has considered the goodwill demonstrated by the Professional Investor Fund and agreed to settle all pending matters.
Business Activity: Professional Investor Fund
FINDINGS:
The MFSA found failings in respect to SLC 1.37 and 1.64 of Part BIII of the Investment Services Rules for Professional Investor Funds targeting Extraordinary Investors and SLC 4.1(b)(iii) of Appendix I of Part B of the Investment Services Rules for Professional Investor Funds with respect to the late submission of:
- the Annual Report and Audited Financial Statements, the Auditor’s Management Letter and the Auditor’s Confirmation for financial year ended 31 December 2020;
- the Annual Report and Audited Financial Statements, the Auditor’s Management Letter, the Auditor’s Confirmation, the Annual Fund Return, the Representation Sheet, the Auditor’s Report on the Fund Return for financial year ended 31 December 2021;
- the Annual Fund Return, Auditor’s Report on the Fund Return, Fund Return Representation Sheet, Audited Financial Statements, Auditor’s Management Letter and Auditor’s Confirmation for financial year ended 31 December 2022;
- the Audited Financial Statements, Auditor’s Management Letter, Auditor’s Confirmation, Annual Fund Return, Auditor’s Report on the Fund Return and Fund Return Representation Sheet for financial year ended 31 December 2023.
MEASURES
On 5 February 2026, the MFSA agreed to settle pending matters with the Professional Investor Fund after demonstration of goodwill by the Professional Investor Fund. By means of a settlement agreement entered into between the Professional Investor Fund and the MFSA, the latter imposed an administrative penalty of nineteen thousand seven hundred and seventy-one Euro and fifty cents (€19,771.50) on the Professional Investor Fund.
