The Malta Financial Services Authority (“MFSA” or the “Authority”) has been looking into certain matters related to an Investment Services Provider with respect to the late submission of regulatory information to the Authority. The Authority has considered the goodwill demonstrated by the Investment Service Provider and agreed to settle all pending matters.

FINDINGS:
The MFSA found failings in respect to:
- SLC 5.02 of Part B of the Investment Services Rules for Notified AIFs with respect to the late submission of the Audited Financial Statements for the financial year ended 31 December 2022 and the non-submission of the Annual Report (including the Audited Financial Statements) for the financial year ended 31 December 2023;
- SLC 5.02(i) of Part B of the Investment Services Rules for Notified AIFs with respect to the late submission of the Annual Fund Return for the financial year ended 31 December 2022 and the non-submission of the Annual Fund Return for the financial year ended 31 December 2023;
- SLC 5.02(ii) of Part B of the Investment Services Rules for Notified AIFs with respect to the late submission of the Representation Sheet (related to the Annual Fund Return) for the financial year ended 31 December 2022 and the non-submission of the Representation Sheet (related to the Annual Fund Return) for the financial year ended 31 December 2023; and
- SLC 5.02(iii) of Part B of the Investment Services Rules for Notified AIFs with respect to the late submission of the Auditor’s Report (related to the Annual Fund Return) for the financial year ended 31 December 2022 and the non-submission of the Auditor’s Report (related to the Annual Fund Return) for the financial year ended 31 December 2023.
MEASURES
On 11 August 2026, the MFSA agreed to settle pending matters with the Investment Services Provider after demonstration of goodwill by the Investment Services Provider. By means of a settlement agreement entered into between the Investment Services Provider and the MFSA, the latter imposed an administrative penalty of six thousand seven hundred twelve Euro and fifty cents (€6,712.50) on the Investment Services Provider.
