The Malta Financial Services Authority (“MFSA”) decided to proceed with imposing an administrative penalty of one hundred and ninety-two thousand Euro (€192,000) on the Company.

BREACHES
The MFSA determined that the Company has acted in breach of:
- SLC 1.10 (k) of Part BII of the Investment Services Rules for Investment Services Providers which qualify as UCITS Management Companies and SLC 1.17 (m) of Part BIII of Investment Services Rules for Investment Services Providers which qualify as AIFMs due to its failure to inform the MFSA of any material information immediately upon becoming aware of the matter;
- SLC 1.14 of Part BIII of the Investment Services Rules for Investment Services Providers which qualifies as AIFMs and SLC 1.07 of Part BII of the Investment Services Rules for Investment Services Providers which qualifies as UCITS Management Companies due to its failure to cooperate in an open and honest manner with the Authority;
- Article 20 (3) in connection with Article 19 (10) of the AIFM Directive (2011/61/EU) and SLC 2.32 of Part BIII of the Investment Services Rules for Investment Services Providers for AIFMs due to its failure to properly calculate and report the correct value of the Fund’s NAV under its management; and
- Article 12 (1) of the EuVECA Regulation and SLC 7.03 of Part BIII of the Investment Services Rules for Investment Services Providers which qualify as AIFMs due to its failure to submit the Fund’s Annual Report under its management by its regulatory deadline to the Authority.
REGULATORY ACTION
On 6 May 2026, the MFSA decided to impose an administrative penalty of one hundred and ninety-two thousand Euro (€192,000) on Fair-Finance Asset Management Limited.
It should be noted that the MFSA’s decision may be appealed before the Financial Services Tribunal within the period as prescribed by the applicable law.
