Investment Services Firm – Ref: 2026-18

The Malta Financial Services Authority (“MFSA” or the “Authority”) has been looking into certain matters related to an Investment Services Firm in relation to late submission of regulatory information to the Authority. The Authority has considered the goodwill demonstrated by the Investment Services Firm and agreed to settle all pending matters.

Business Activity: Investment Services Firm

FINDINGS:

The MFSA found failings in respect to:

  1. Rule 1-2.2.1 of the Investment Services Rules for Investment Services Providers Part BI: Rules Applicable to Investment Services Licence Holders which Qualify as MIFID Firms, since it failed to submit on time the Audited Annual Financial Statements, Auditors’ Management Letter, Auditors’ Report, Auditors’ Confirmation, soft and hard copies of the MiFID Firms Quarterly Reporting with audited figures for the section pertaining to Prudential Supervision (Q4), supervisory fee calculation from the MiFID Firms Quarterly Reporting signed by two Directors and the auditor, signed copy of the Confirmations tab of the MiFID Firms Quarterly Reporting for financial year end 31 December 2022.
  2. Rule 1-2.1.4 & R1-2.1.6 of the Investment Services Rules for Investment Services Providers Part BI: Rules Applicable to Investment Services Licence Holders which Qualify as MIFID Firms, since it failed to submit on time the MiFID Firm’s Quarterly Reporting, (Q2 - Class 2 and 3) for financial year end 31 December 2022.
  3. Rule 3-2.8.2 of the Investment Services Rules for Investment Services Providers Part BI: Rules Applicable to Investment Services Licence Holders which Qualify as MIFID Firms since it failed to submit on time the Annex III (Q4 2022 - Class 3) for financial year end 31 December 2022.
  4. Rule 1-2.2.1 of the Investment Services Rules for Investment Services Providers Part BI: Rules Applicable to Investment Services Licence Holders which Qualify as MIFID Firms, since it failed to submit on time the Audited  Annual Financial Statements, Auditors’ Management Letter, Auditors’ Report, Auditors’ Confirmation, soft and hard copies of the Quarterly Reporting pertaining to Prudential Supervision (Q4), Submission of Supervisory Fee Calculation from the MiFID Firms Quarterly Reporting signed by two Directors and the auditor, signed copy of the Confirmations tab of the MiFID Firms Quarterly Reporting for financial year end 31 December 2023.
  5. Rule 3-2.8.2 of Part B1 of the Investment Services Rules for Investment Services Providers Part BI: Rules Applicable to Investment Services Licence Holders which Qualify as MIFID Firms, since it failed to submit on time the Annex III (Q4 2023 - Class 3) for financial year end 31 December 2023.

MEASURES

On 25 February 2026 the MFSA agreed to settle pending matters with the Investment Services Firm after demonstration of goodwill by the Investment Services Firm. By means of a settlement agreement entered into between the Investment Services Firm and the MFSA, the latter imposed an administrative penalty of twenty thousand, seven hundred and seventy-six Euro (€ 20,776) on the Investment Services Firm.
