On 27 May 2025, the Malta Financial Services Authority (“MFSA”) decided to cancel the Scheme’s licence and those of its Sub-Funds, Africa Fixed Income Fund and Africa High Growth Fund, in terms of the Investment Services Act, Chapter 370 of the Laws of Malta.

BREACHES

The MFSA determined that the Company has acted in breach of the following Standard Licence Conditions of the Investment Services Rules, Part B: Standard Licence Conditions, Part BII Professional Investor Funds Targeting Qualifying Investors (the ‘Rules’) and of the Supplementary Licence Conditions (‘SuLC’) of Appendix 1 to the Rules:

    • SLC 1.23 of the Rules – Failure by the Scheme to appoint a Compliance Officer.
    • SLC 1.29 of the Rules – Failure by the Scheme to appoint a Money Laundering Reporting Officer.
    • SLC 1.62 of the Rules – Failure by the Scheme to submit copies of its Audited Annual Financial Statements for the financial year ending 2023.
    • SLC 1.64 of the Rules - Failure by the Scheme to furnish information to the Authority when requested.
    • SuLC 1.4 of Appendix 1 to the Rules – Failure by the Scheme to organise and control its affairs in a responsible manner.
    • SuLC 4.1(ii)(a) of Appendix 1 to the Rules – Failure by the Scheme to submit the AIFMD Annex IV Return for the financial year ending 2023.
    • SuLC 4.1(iii) of Appendix 1 to the Rules – Failure by the Scheme to submit the auditor’s management letter and the auditor’s confirmation letter for the financial year ending 2023.
    • SuLC 4.4 of Appendix 1 to the Rules – Failure by the Scheme to have at least one member of the Board of Directors resident in Malta and to have an Investment Committee made up of at least three members.

REGULATORY ACTION

On 27 May 2025, the MFSA decided to cancel the Scheme’s licence and those of its Sub-Funds, Africa Fixed Income Fund and Africa High Growth Fund.

It should be noted that the MFSA’s decision may be appealed before the Financial Services Tribunal within the period as prescribed by the applicable law.
